Rorke represented an acquisition group and its newly-organized corporation that served as the vehicle for a leveraged buyout of a Phoenix-based developer/vendor of enterprise software for the food warehousing and distribution industry. Rorke assisted the acquisition group in negotiating and structuring the transaction, forming necessary legal structures and documenting the integrated transactions required to complete the acquisition through an asset purchase and offering of convertible notes. Rorke represented the company in completion of seven venture capital financing transactions from 1998-2001, a recapitalization in 2002 and a restructuring in 2003, which passed control to a New York-based venture capital group. From 1997 through 2004, Rorke served as outside General Counsel and Corporate Secretary, participating in all meetings of the board and audit, compensation and technology oversight committees, and supporting the Board and CEO in legal and management matters.
